Sam Van
Sam Van is an experienced public company board director, audit committee chair, and capital markets executive with more than 20 years of leadership across global exchanges, financial regulation, asset management, medical technology, insurance, and advanced manufacturing. He brings deep expertise in guiding companies through the transition to public markets and in overseeing them once they arrive, spanning cross-border capital formation, IPO and uplisting execution, exchange listing standards, and financial reporting integrity across North America, Asia, and Europe.
Sam’s board philosophy centers on audit independence, disclosure quality, disciplined capital allocation, and durable alignment between management and shareholders. His background spans public market transactions, IPO and follow-on offerings, SEC and FINRA regulatory compliance, institutional investor engagement, and enterprise risk oversight, informed by four years as a securities regulator and eleven years inside the New York Stock Exchange.
His public board experience includes service as Audit Committee Chair of Picard Medical, Inc. (NYSE American: PMI), parent of SynCardia Systems and maker of the only total artificial heart approved by both the U.S. FDA and Health Canada. He supported the company’s $17M IPO in August 2025 and oversees financial reporting, internal control design, external auditor engagement, and continued listing-standards compliance. He also serves as Audit Committee Chair and a member of the compensation and nominating committees at Reed’s, Inc. (NYSE American: REED), where he led governance and executive restructuring supporting the company’s uplisting from OTCQX to NYSE American and its concurrent $10M underwritten offering. His committee work there spans executive pay design, leadership succession, board composition, and director independence.
Currently, Sam is Founder and Chief Executive Officer of SRO Partners, a capital markets advisory firm through which he has originated and closed ten NYSE and Nasdaq listings since 2024. He concurrently serves as a director of Relm Insurance Ltd. in Bermuda, sitting on the underwriting and investment committees through the company’s growth from $5M to $400M in written premiums.
Previously, as Chief Executive Officer of J-Star Holding Co., Ltd. (Nasdaq: YMAT), a carbon-fiber and composites manufacturer supplying tier-one cycling brands including Colnago, Aurum, Look, and Simplon, Sam led the company’s Nasdaq listing and follow-on financing, directed M&A strategy in advanced materials, and initiated a carbon-fiber mobility line for the Japanese healthcare market. As President and Director of Deltec Investment Adviser Ltd. in the Bahamas, he directed capital markets strategy across banking, digital assets, insurance, and trust platforms while the firm grew from $12B to $41B in assets under management, and connected biotechnology companies across France, Germany, the United States, and China with institutional and family office capital. Earlier, he served as an Associate Principal at FINRA and spent eleven years at the New York Stock Exchange as Director of International Listings, leading 70 cross-border listings and managing relationships with 140 Asia-Pacific issuers representing $1.9 trillion in market capitalization.
